Woulfe Mining Corp. Announces Proposed Issuance of Shares further to the Company's news release dated March 10, 2014, the Company announces that it has elected to issue 1,344,292 common shares, at a deemed price of $0.09 per share, to Dundee Corporation ("Dundee") in satisfaction of the interest due and payable on December 31, 2014, under the Convertible Debenture Agreement dated March 7, 2014, entered into between the Company and Dundee.

The Company further announces that it will be issuing 98,438 common shares at a deemed price of $0.08 per share and 82,895 common shares at a deemed price of $0.095 per share to one of its service provides in Canada as partial compensation for ongoing services.

The common shares issued for services will be subject to a four-month hold period from the date of their issuance.
