Yahagi Construction Co.,Ltd. (TSE:1870) entered into letter of intent to acquire Hokuwa-Corporation from National Students Information Center Group on January 20, 2023. At the Board of Directors meeting of Yahagi Construction held on January 20, 2023, the Company resolved to acquire 0.17 million shares of Hokuwa-and make it a wholly-owned subsidiary and concluded a share transfer agreement on January 24, 2023. For Year ended March 31, 2022, Hokuwa had total assets, net assets, sales, Operating and net income of ¥3.6 billion ¥2.3 billion ¥6.2 billion ¥53 million and ¥42 million respectively. Transaction is expected to complete on March 31, 2023. DC Advisory acted as a financial advisor to Yahagi Construction Co.,Ltd. (TSE:1870).
