Zhangmen Education Inc. Announces Formation of Special Committee

SHANGHAI, China - June 9, 2023 - Zhangmen Education Inc. (the "Company") (OTCMKTS: ZMENY), a leading online education company in China, today announced that its Board of Directors (the "Board") has established a special committee (the "Special Committee") to evaluate and consider the previously announced preliminary non-binding proposal letter, dated May 26, 2023 (the "Proposal") or any alternative strategic option that the Company may pursue.

The Special Committee is composed of the following independent directors: Messrs. Jicai Qi and Adam J. Zhao. Mr. Jicai Qi will serve as the chairman of the Special Committee.

The Board cautions the Company's shareholders and others considering trading in the Company's securities that no decisions have been made with respect to the Proposal or any alternative strategic option that the Company may pursue.
