Acquisition of EP.AL.ME. S.A. by MYTILINEOS S.A.

Athens, Greece - 23 October 2018 - MYTILINEOS S.A. (RIC: MYTr.AT, Bloomberg: MYTIL.GA) announces the agreement for the acquisition of a 97.87% stake in EP.AL.ME. S.A. (Aluminum Processing - Metal Industry), a Company that operates in industrial production, processing and trading of metals, mostly aluminium alloys and derivative products.

EP.AL.ME. was founded in 1973 and is the largest independent producer of recycled (secondary) aluminium in Greece. Over the years, the company has established itself, both in Greece and abroad, by adapting its production to high quality standards and needs of international clients, as well as the needs of Greek businesses, whose sales to a large extent, are diverted to export market.

Based on its long-term know-how and highly trained staff, and through the optimal processing of aluminium scrap, the company has the capacity to produce new raw materials, consuming significantly less energy, thus drastically mitigating its operational costs and the environmental impact.

The annual capacity of the plant is currently 35,000 metric tons, with a workforce of 64 people. Through extended and targeted investments, MYTILINEOS plans to increase productivity and efficiency, production is expected to reach 50,000 metric tons over the next two years.

Through this acquisition, MYTILINEOS S.A.:

  • Substantially strengthens its Metallurgy Business Unit

  • Directly increases the production of aluminium billets (raw material for extrusion units producing aluminum profiles) from 120,000 to 155,000 metric tons, increasing its total production capacity, with prospects to reach total capacity of 250,000 metric tons within two years

  • Expands the company's presence in Greek and foreign markets by enabling the provision of integrated solutions to its customers

  • Gains expertise in aluminium scrap recycling operations

The further establishment and enhancement of its Metallurgy Business Unit - Aluminium of Greece, as well as the maximization of its output, remain major strategic goals for MYTILINEOS S.A.

At the same time, the acquisition boosts the efforts that MYTILINEOS puts in reducing the energy required in all stages of the production process, through the recycling of aluminium products (scrap) whose use has been completed.

It is also worth noting that the recycling of aluminium scrap requires only 5% of the energy that is needed for the production of primary aluminium, simultaneously producing 95% less greenhouse gas emissions.

Consistent with its long-term strategic planning, MYTILINEOS S.A. will gradually become a more "green industry", with a significantly smaller environmental footprint and substantial savings in natural resources. The company aims for the maximization of aluminium products' lifecycles through their remelting into new, more "green" products.

The acquisition price is20 million, including debt.

It is underlined that the conclusion of the agreement is subject to the approval of the Competition Commission.
