Appointment of Non-Executive Director

The Board of Directors (the "Board") of Swire Pacific Limited ("Swire Pacific" or the "Company") announces that Mr. Martin CUBBON has been appointed as a Non-Executive Director of the Company with effect from 1st November 2018.

Mr. Martin CUBBON, aged 61, is a Director of John Swire & Sons Limited ("Swire").

He was employed by the Swire group from 1986 until his retirement in September 2017. He was a Director of Swire Pacific from September 1998 to September 2017, a Director of Swire Properties Limited ("Swire Properties") from March 2000 to September 2017, a Director of Cathay Pacific Airways Limited from September 1998 to May 2009 and from January 2015 to September 2017, and a Director of Hong Kong Aircraft Engineering Company Limited from August 2006 to May 2009. Mr. Cubbon was Finance Director of Swire Pacific from September 1998 to March 2009, Chief Executive of Swire Properties from June 2009 to December 2014, and Finance and Corporate Development Director of Swire Pacific from January 2015 to September 2017. Mr. Cubbon graduated from the University of Liverpool in July 1980 with a Bachelor of Arts (Honours) degree in Economics and subsequently qualified as a chartered accountant.

In accordance with the Company's Articles of Association, Mr. Martin CUBBON will hold office as a Director until the annual general meeting to be held in 2019 and will then be eligible for election; thereafter he will retire at the third annual general meeting following his election by ordinary resolution and will be eligible for re-election. He will enter into a letter of appointment, which constitutes a service contract, with the Company for a term expiring on the date of the annual general meeting at which he will retire, which will be renewed for a term of three years upon each election or re-election.

Mr. Cubbon is seconded to the Company by the Swire group under the agreement for services referred to in the Company's announcement dated 19th August 2016.

Mr. Cubbon has a personal interest in 100,000 "B" shares of Swire Pacific. Apart from these, Mr. Cubbon does not have any interest (within the meaning of Part XV of the Securities and Futures Ordinance) in the shares of Swire Pacific.

Swire is a holding company of Swire Pacific. Except as so indicated and for the fact that he is a Director of Swire, Mr. Cubbon does not have any relationship with any Director or the senior management of the Company or with any substantial or controlling shareholder of the Company.

Mr. Cubbon is not entitled to receive any emolument or director's fee from the Company.

Save as disclosed above, there is no other information relating to Mr. Cubbon to be disclosed pursuant to Rule 13.51(2) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and there is no other matter which needs to be brought to the attention of the shareholders of the Company.
