its annual meeting of stockholders ("Annual Meeting") at 8:00 a.m. Central Time.

Item 8.01 Other Events.


On March 4, 2020, Cabot Microelectronics Corporation (the "Company") issued a
press release announcing that its Board of Directors has declared a quarterly
cash dividend of $0.44 per share ($1.76 per share on an annualized basis) on the
Company's common stock, an increase of approximately five percent over the most
recent quarterly dividend, which was paid on or about January 30, 2020. The
dividend will be payable on or about April 24, 2020 to shareholders of record at
the close of business on March 24, 2020. The declaration and payment of future
dividends is subject to the discretion and determination of the Company's Board
of Directors and management, based on a variety of factors, and the program may
be suspended, terminated or modified at any time for any reason. The company
also provided commentary on its second quarter of fiscal 2020 guidance in the
press release attached as Exhibit 99.1.
