Sub: Recommendation by the Board of Directors in respect of final

Dividend for the financial year ended 31st December 2012.

This is to inform you that the Board of Directors of the Company at its Meeting held earlier today have considered the Audited Statement of Accounts for the financial year ended 31st December 2012 and recommended payment of a final dividend at the rate of 19/- (Rupees Nineteen only) per Equity share of 10/- each.

A copy of the audited financial results for the year ended 31st December 2012 and a copy of the Media Release is enclosed.

It has accordingly been decided to close the Register of Members and Share Transfer Books of the Company from 23.03.2013 to 05.04.2013 (both days inclusive) for the purpose of determining payment of the above dividend to the Members.
The said dividend, if approved by the Members at the Annual Generai Meeting (AGM) of the Company to be held on Friday, 5th Aprii, 2013 will be made payable to those Members whose names stand on the Register of Members on 05.04.2013. In respect of shares held in dematerialized form in the Depository System, the dividend will be paid to the beneficiai owners as on 22.03. 2013 as per the list provided by the Depositories. The dividend will be payable on and from 12.04.2013.
