ActBlue Co., Ltd. (SZSE:300816) signed a sale option agreement to acquire Vitesco Technologies Faulquemont SAS from Vitesco Technologies Lohmar Verwaltungs GmbH for €18 million on March 1, 2021. ActBlue Co., Ltd. signed a share purchase agreement to acquire Vitesco Technologies Faulquemont SAS from Vitesco Technologies Lohmar Verwaltungs GmbH on April 6, 2021. For the year ended December 31, 2021, Vitesco Technologies Faulquemont SAS had total assets of €22.244 million, net assets of €6.1374 million, revenues of €34.286 million, earnings before interest and tax of €0.0734 and net loss of €0.0279. The transaction has been approved in the 18th meeting of ActBlue Co., Ltd.’s 2nd Directorate held on March 1, 2021 and does not require shareholder approval. ActBlue Co., Ltd., held the nineteenth meeting of the 2nd board of directors and the 16th meeting of the 2nd board of supervisors on March 2, 2021, and reviewed and approved the "Regarding Adjustments to the Company and Related Parties to Purchase 100% equity of VT Faulquemont" Motion." ActBlue Co., Ltd., now will purchase 100% equity of Vitesco Technologies Faulquemont SAS alone. Anne Fréchette-Kerbrat, Christine d'Ovidio, Berengere Tosani, Yanis Aldin, Lorraine Raimbert-Nusse, Anne-Laure Braquehaye and Alexandre Lacresse of Fidal and Thomas Weidlich, Philipp Dietz, Falco Rohrberg, Markus Sengpiel, Volker Steimle, Philip Lazare, and Ni Ningjun of Luther acted as legal advisors for ActBlue in the transaction.
ActBlue Co., Ltd. is a China-based company principally engaged in the research and development, manufacture and sales of engine exhaust aftertreatment products and atmospheric related products. The Company's main products include Selective Catalytic Reduction (SCR), Diesel Oxidation Catalyst (DOC), Particle Oxidation Catalyst (POC), Diesel Particulate Filter (DPF) and Gasoline Three Way Catalyst/Devices (TWC).
