Proposed Placing

Energiser Investments plc announces its intention to undertake a placing to raise funds in the region of approximately £1,000,000 (before expenses) through the issue of new ordinary shares in the Company at a price not less than 2p per ordinary share (the 'Placing').

The Placing will be by way of an accelerated book build ('Bookbuild'). The number of new ordinary shares to be issued ('Placing Shares'), pricing and the aggregate proceeds to be raised through the Placing will be finally determined following completion of the Bookbuild process. At a price of 2p per share, a placing of £1,000,000 would result in the issue of 50,000,000 new ordinary shares.

Certain of the Directors of the Company have indicated an intention to participate in the Placing. Further details of the Placing and any participation by the Directors will be set out in the announcement to be made on the closing of the Bookbuild which is expected to be made later today.

The Placing Shares will be issued credited as fully paid and will rank pari passuwith the existing ordinary shares, including the right to receive all dividends and other distributions declared, made or paid on or in respect of the ordinary shares after the date of issue of the Placing Shares.

The net proceeds of the Placing will be used for general working capital purposes and to provide additional investment funds for the Company.
