Sub : Proceedings of the 25th Annual General Meeting pursuant to Regulation 30 read with Schedule-III of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

Pursuant to the provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, please find below the gist of the proceedings of the 25th Annual General Meeting of the Company held on July 30, 2021:

1. The 25th Annual General Meeting of the Members of the Company was held on July 30, 2021 at
   11.00 a.m. through Video Conferencing (VC) / Other Audio Visual Means (OAVM):
2. The Meeting was chaired by Mr. G. K. Tulsian, Director of the Company.
3. The following resolutions were moved:

Ordinary Business:

1. Adoption of the Audited Financial Statements of the Company for the financial year ended March 31, 2021, together with the Report of the Board and the Auditors thereon.
2. Re-appointmentof Mrs. Pinky A Mehta (DIN 00020429), as Director on retirement by rotation.

Special Business:

1. Enhancement of Borrowing Limit of the Company up to Rs.850 Crore.
2. Creation of Charge on Movable and Immovable Properties of the Company up to Rs.850 Crore.

The Company had provided e-Voting facility to the Members for casting their votes on the above resolutions. The voting results would be intimated separately.
