RELEVANT INFORMATION

Acquisition by Aena Desarrollo Internacional of the Northeast Brazil airport group

Aena Desarrollo Internacional S.M.E. S.A., a subsidiary wholly owned by Aena and through which it carries out its international operations, has been announced by the ANAC (the Brazilian National Civil Aviation Agency) as the winner of the concession for the Northeast Brazil airport group consisting of six airports (Recife, Maceió, Joao Pessoa-Bayeux, Aracajú, Juazeiro do Norte and Campina Grande) for a term of thirty years with the possibility of an additional five-year extension.

The Northeast Brazil airport group had traffic coming to more than 13.7 million passengers in 2018, 6.5% of total Brazilian traffic. Recife airport is eighth in Brazil by total passenger traffic and fifth by international passenger traffic.

The price of the award, the outcome of the public auction carried out today, 15 March 2019, on the Sao Paulo stock exchange, is 1.900 million Brazilian Reals, at the current exchange rate an amount of approximately 437,5 million euros.

It is expected that the administrative procedures for formalising the concession will be completed this August and that after the transition period envisaged in the bidding documents, in the last quarter of 2019 the northeast airports will begin to be managed by the concession company to be set up for this purpose and which will be entirely owned by Aena Desarrollo Internacional.

This acquisition is part of the objectives of the company's Strategic Plan approved in May 2018. It consolidates Aena's global leadership as an airport operator by helping to enhance the synergies of its network with the Madrid and Barcelona hub airports as well as with the Latin American airports in which Aena has a stake in Mexico, Colombia and Jamaica.
