Aeon Fantasy Co., Ltd. (TSE:4343) concluded a contract to acquire Fun Field Co.,Ltd. from The Daiei,Inc. and other shareholders for ¥2.8 billion in stock on March 23, 2015. One share of Fun Field will be exchanged with 1.0138 shares of Aeon Fantasy and Fun Field will be dissolved. Aeon Fantasy will acquire 1.52 million shares of Fun Field and will issue 1.54 million shares as consideration. Fun Field Co.,Ltd. will be merged into Aeon Fantasy Co., Ltd.
The transaction is not subject to approval of shareholders of Aeon Fantasy. The shareholders of Fun Field Co., Ltd approved the transaction March 23, 2015. The Board of Aeon Fantasy Co., Ltd and Fun Field Co., Ltd passed a resolution for the transaction on March 23, 2015. The transaction is expected to close on June 1, 2015. Aeon Fantasy selected KPMG FAS Co., Ltd and Fun Field selected Heiseikaikeisha Tax Corporation as the independent calculation organizations to calculate the merger ratio.
