On October 17, 2023, Jenny J. Ming, a member of the Board of Directors (the Board") of Affirm Holdings, Inc.
(the Company"), resigned as a member of the Board, effective October 31, 2023. Ms. Ming also informed the
Company that her decision was not made because of any disagreement with the Company on any matter relating to the Company's operations, policies or practices. On October 18, 2023, the Board appointed Manolo S nchez to the Board as a Class II director, effective November 1, 2023, with a term expiring at the Company's 2025 annual meeting of stockholders. In addition, Mr. S nchez was appointed as a member of the Audit Committee and Nominating and Governance Committee of the Board. Mr. S nchez is an adjunct professor at Jones Graduate School of Business at Rice University and was president and CEO of Compass Bank, Inc., a U.S. subsidiary of Banco Bilbao Vizcaya Argentaria, S.A. (BBVA), from 2008 to 2017, during which time he served as director of the American Bankers Association, the Institute of International Bankers and the Greater Houston Partnership. Mr. S nchez joined BBVA in 1990. Mr. S nchez was selected to serve on the Company's Board due to his experience in the banking industry, including in risk management, real estate, community, corporate and investment banking.
