Asterion Industrial Infra Fund I, FCR a fund managed by Asterion Industrial Partners reached an agreement to acquire Aggregated Micro Power Holdings plc (AIM:AMPH) from a group of shareholders for £57.1 million on November 29, 2019. Under the terms of the Acquisition, Aggregated Micro Power Clean Energy Shareholders will receive 90 pence in cash for each Aggregated Micro Power Share. AMP Clean Energy Directors have irrevocably undertaken to vote in favour of the Scheme at the Court Meeting and in favour of the resolutions relating to the Acquisition. The transaction is subject to conditions including approval in court meeting, approval of Aggregated Micro shareholders during a general meeting. The court meeting is scheduled to be held on January 8, 2020 and the General Meeting is scheduled to be held on January 8, 2020. The scheme court hearing is scheduled on January 15, 2020. As per the update on January 8, 2020, the transaction has been approved by the shareholders of Aggregated Micro Power Holdings plc. The transaction was approved by the court on January 15, 2020. Cancellation of listing of AMP Clean Energy shares is scheduled January 20, 2020. The Long Stop Date is March 31, 2020. As of January 15, 2020, the transaction is expected to close on January 17, 2020.
