Accenture Japan Ltd made an offer to acquire ALBERT Inc. (TSE:3906) from SBI Holdings, Inc. (TSE:8473), Toyota Motor Corporation (TSE:7203) and others for ¥42.5 billion on September 29, 2022. As per the terms, Accenture Japan offered ¥9180 per Albert share. Transaction is subject to minimum shares of 3,084,200 shares tendered. ALBERT board of directors has established this special committee consisting of three members, Akihiro Tozawa, Makoto Saji, and Takaharu Furuzono. Board of directors of Albert Inc. expresses its opinion in favor of the tender offer. The tender offer intends to made ALBERT Inc. a wholly owned subsidiary of Accenture Japan Ltd. Tender offer will be commenced from September 30, 2022, and will close on November 14, 2022. Accenture Japan Ltd completed the acquisition of 90.172762% stake in ALBERT Inc. (TSE:3906) from SBI Holdings, Inc. (TSE:8473), Toyota Motor Corporation (TSE:7203) and others for ¥38.3 billion on November 14, 2022. Accenture expects to purchase all remaining shares and stock acquisition rights in the coming months, after which ALBERT will be delisted from the Tokyo Stock Exchange.
