Item 8.01 Other Events

Ameri Metro Inc. (the "Company") entered into an Opportunity License Agreement with Atlantic Energy & Utility Products, Inc. on May 24, 2012, which was then amended on June 25, 2019. The amended Opportunity License Agreement now states that the Company has a 25% non-controlling interest in Atlantic Energy & Utility Products, Inc. and the ownership interest also includes ownership of book value in Atlantic Energy & Utility Products, Inc.. Atlantic Energy & Utility Products, Inc. shall pay 25% of all profits before taxes to the Company. Based on Atlantic Energy & Utility Products, Inc.'s operations through July 2020, the Company is entitled to $7,751,724,997.75 of Book Value. The Company will record 25% ownership of its stakeholder interest in their financial filings beginning August 10, 2020. All related future revenue will also be recorded in the Company's financial filings.
