American Pacific Mining Corp. entered into a definitive agreement to acquire Clearview Gold Inc. from NewQuest Capital Inc. for CAD 4.2 million.

American Pacific Mining Corp. (CNSX:USGD) entered into a definitive agreement to acquire Clearview Gold Inc. from NewQuest Capital Inc. for CAD 4.2 million on April 27, 2023. Under the terms of the Agreement, American Pacific will pay CAD 0.2 million and issue 11.5 million common shares of American Pacific.

Closing of the Transaction is subject to the receipt of applicable regulatory approvals and the satisfaction of certain other closing conditions customary for transactions of this nature. After consultation with its financial and legal advisors, the Board of Directors of American Pacific have unanimously approved the entering into of the Definitive Agreement. The Transaction is expected to be completed during the second quarter of 2023.
