The Grilled Cheese Truck, Inc. entered into an agreement to purchase all of the membership interests in Sun Fire Farms, LLC and Sun Fire’s Finest, LLC for $0.84 million on September 29, 2017. As per the agreement, the consideration payable for the transaction is $0.7 million in cash and 0.4 million in newly issued common shares of Grilled Cheese Truck. SF Farms shall be paid $0.7 million in cash and 0.25 million in shares and SF Finest shall be paid 0.15 million in shares. Grilled Cheese Truck will pay $0.1 million upon the execution of the agreement and $0.6 million at closing. Grilled Cheese Truck also agreed to indemnify the guarantors of the Land Sale Contract for the parcel held by SF Farms by assuming $0.6 million of principal debt and Grilled Cheese Truck shall assume no other debt. As per the terms of the transaction, the tradename “Sunfire” will not be purchased and Grilled Cheese Truck will be required to change the names of SF Farms and SF Finest. Additionally, Grilled Cheese Truck has agreed to allow the members of SF Farms and SF Finest (SF Members) to retain 75% interest in the proceeds from an environmental assessment appeal by SF Farms, should the SF Members pursue the claim. With this agreement, each SF Member agreed not to sell or transfer the purchase shares for six months following the closing and shall sell no more than greater of $1,000 or 1% of Grilled Cheese Truck’s daily trading volume for the prior trading day on any given day and will not sell more than 1% of Grilled Cheese Truck’s issued and outstanding common stock in any calendar quarter for a period of eighteen months. SF Members shall retain $0.1 million if the transaction is not closed by Grilled Cheese Truck and Grilled Cheese Truck will receive $0.1 million in case the transaction is terminated by SF Members.
