MINUTES OF THE HUMANS, REMUNERATION AND ELIGIBILITY COMMITTEE

EXTRAORDINARY MEETING HELD ON APRIL 19th, 2023.

On April 19th, 2023, at 6:00 p.m., a non-presential extraordinary meeting of the Humans, Remuneration and Eligibility Committee (Corem) of Banco do Brasil S.A. was held, at Setor de Autarquias Norte, Quadra 5, Lote B, Torre Norte, 16th floor, Asa Norte - Brasília (DF), Zip Code 70040-912, under the coordination of Mr. Egidio Otmar Ames, with the participation of Mr. Aramis Sá de Andrade, and Mr. Paulo Roberto Evangelista de Lima.

  1. Mr. Coordinator registered that, according to the call notice, the agenda would be limited to the consideration of the indication of:
    1. Larissa da Silva Novais Vieira - for the position of Retail Business Officer (Sme and Individuals) of Banco do Brasil S.A., 2021-2023 term of office;
    2. Neudson Peres de Freitas - for the position of Operations Officer (Diope) of Banco do Brasil S.A., 2021-2023 term of office;
    3. Rafael Machado Giovanella - for the position of Internals Controls Officer (Dicoi) of Banco do Brasil S.A., 2021-2023 term of office;
  2. The Coordinator clarified that:
    1. it is incumbent upon Corem to verify the compliance of the nomination process and to opine, to assist the Board of Directors (BoD) in the election/appointment of directors, the members of the advisory committees, General Auditor, and the Ombudsman, on the fulfillment of the requirements and the absence of prohibitions for the respective elections/appointments (Bylaws, Art. 34, §6, V, c/c Decree 8,945/2016, Art. 21-II);
    2. the nominee's documents were made available on the Governance Portal, in the usual manner.
  3. After examining the documents, Corem identified that:
    1. the nominations are accompanied by the Registration Forms for nominees to the Board of Executive Officers, Individual Profile Evaluation Report, Previous Analysis of Compatibility carried out by the Executive Secretariat of Banco do Brasil, proof of prior approval from the Civil House of the Presidency of the Republic, as the provisions of Art. 22, I and II, of Decree 8,945/2016, and Arts. 1 and 2 of CGPAR Resolution 35/2022;

b. the process complies, instructed with the required documents, which support the information provided by the nominees through the Registration Form, as recommended in Articles 22, I, and 30 of Decree 8,945/2016;

c. the legal opinion (0004306152-001, dated 04.19.2023; 0004306199-001, dated 04.19.2023; and 0004302896-001, dated 04.18.2023), attached to the process, states that the general requirements, the fulfillment of the minimum requirements and the absence of impediments, restrictions or prohibitions to the election of the nominee, are adequately proven;

    1. concerning the specific requirement as provided in Art. 28, §5, of Decree 8,945/2016, as well as in Art. 14, I, of CMN Resolution 4,970/2021 and Art. 11, §4, of the Bylaws, Mrs. Larissa da Silva Novais Vieira declared in his "Registration Form" that, due to his work at BB Aktiengesellschaft (BB AG), a wholly owned subsidiary of BB headquartered in Vienna (Austria), he currently resides abroad. However, he also declared that, if elected, he will return to Brazil by the date he takes office, thus fulfilling the "residence in Brazil" requirement.
  1. After analyzing the nomination, Corem concluded that the candidates proved to have an academic education, professional experience, an unblemished reputation, moral standing, and technical capacity compatible with the position for which they were nominated, which evidence adherence to the profile desired for the position being filled and the absence of impediments and prohibitions, as required in Art. 28 and 62, § 2, I, of Decree 8,945/2016; Arts. 13 and 24, §2o and §4º, I, of Bylaws; Art. 17 of Law 13,303/2016 and Banco do Brasil's Specific Nomination and Succession Policy;
  2. With all that said, based on the support material made available, the members of Corem:
    1. decided unanimously in favor of the eligibility of Mrs. Larissa da Silva Novais Vieira, for the position of Retail Business Officer (SME and Individuals) of Banco do Brasil S.A., 2021-2023 term of office, following opinions Corem 2023/1515, whose election shall be submitted to the Board of Directors, for the Art. 21, X, of BB's Bylaws, with the recommendation that possession be conditional on prior proof of residence in Brazil;

b. decided unanimously in favor of the eligibility of Mr. Neudson Peres de Freitas, at the moment, for the position of Operation Officer (Diope) of Banco do Brasil, 2021 to 2023 term, following opinions Corem 2023/1501, whose election shall be submitted to the Board of Directors, for the Art. 21, X, of BB's Bylaws, with the recommendation that, once elected and invested in office, he observe, according to the specific case, the guideline of the Art. 31, §4, of the Bylaws;

  1. decided unanimously in favor of the eligibility of Mr Rafael Machado Giovanella, for the position of Internals Controls Officer (Dicoi) of Banco do Brasil, 2021 to 2023 term, following opinions Corem 2023/1518, whose election shall be submitted to the Board of Directors, for the Art. 21, X, of BB's Bylaws, with the recommendation that, (i) the election and investiture in the position are conditioned to the prior resignation or dismissal (Art. 142, II, of Law 6,404/1976, and Art. 21, XIX, of the Bylaw) of the current occupant of the position incumbent; and (ii) once elected and invested in office, observe, according to the concrete case, the guideline of the Art. 31, §4, of the Bylaws.

7. the conditions of eligibility must be maintained while in the effective exercise of the positions, and it is recommended that the nominees be notified, when taking office, to communicate to the BB any supervening fact that may affect these conditions.

With no further business to discuss, Mr. Coordinator closed the meeting, in which I, Leandro Dias Guia, Secretary, drafted these minutes, which were read, agreed with, and signed by the members of the Committee.
