CLOSURES OF REGISTER OF MEMBERS

Reference is made to the recommendation of the board of directors (the "Board") of Binhai Investment Company Limited (the "Company") of a final dividend for the year ended 31 December 2020 (the "Final Dividend") of HK$0.079 per ordinary share of the Company (the "Share") as disclosed in the 2020 final results announcement of the Company published on 18 March 2021. The Final Dividend is subject to the approval of the holders of the Shares at the forthcoming annual general meeting of the Company to be held on 14 May 2021 (the "AGM"), and is expected to be paid on or about 11 June 2021.

The Board announces that the register of members of the Company (the "Register of Members") will be closed for the following periods, during which no transfer of Shares will be registered:

1. For determining the entitlement to attend and vote at the AGM
   Shareholders of the Company whose names appear on the Register of Members on Friday, 14 May 2021 will be eligible to attend and, in relation to holders of Shares, to vote at the AGM. The Register of Members will be closed from Tuesday, 11 May 2021 to Friday, 14 May 2021 (both days inclusive). To become holders of Shares and be entitled to attend and vote at the AGM, all completed transfer forms accompanied by the relevant share certificates must be lodged with the Company's Hong Kong branch share registrar and transfer office, Hong Kong Registrars Limited of Shops 1712-1716, 17th Floor, Hopewell Centre, 183 Queen's Road East, Wanchai, Hong Kong, for registration not later than 4:30 p.m. on Monday, 10 May 2021.

1. For determining the entitlement to the Final Dividend
   The Final Dividend will be payable to the holders of Shares whose names appear on the Register of Members on Wednesday, 26 May 2021 and the Register of Members will be closed from Monday, 24 May 2021 to Wednesday, 26 May 2021 (both days inclusive). In order to qualify for the Final Dividend, all completed transfer forms accompanied by the relevant share certificates must be lodged with the Company's Hong Kong branch share registrar and transfer office, Hong Kong Registrars Limited of Shops 1712-1716, 17th Floor, Hopewell Centre, 183 Queen's Road East, Wanchai, Hong Kong, for registration not later than 4:30 p.m. on Friday, 21 May 2021.
   Accordingly, the last day for dealings in the Shares with entitlement to the Final Dividend will be Tuesday, 18 May 2021. The Shares will be traded ex-dividend as from Thursday, 20 May 2021.
