Addendum for e-Voting and Postal Ballot

In continuation of Extra Ordinary General Meeting ("EOGM") Notice of Universal Network Systems Limited (the "Company") dated March 11, 2023 (to be held on April 03, 2023 at 2:30 pm) and in accordance with the Companies (Postal Ballot) Regulation, 2018 , ("Regulations"), the right to vote through electronic voting facility ("e-Voting") and voting by Post ("Postal Ballot") shall be provided to members of the Company for "Special Business" in the manner and subject to the conditions contained in the Regulations. For this purpose, the facility of e-Voting or Postal Ballot is arranged for the members through our Share Registrar M/s. CDC Share Registrar Services Limited based on the following procedure for exercising e-Voting or Postal Ballot options alternatively.

Procedure for E - Voting:

1. Details of the e-voting facility will be shared through an e-mail with those members of the Company who have their valid CNIC numbers, cell numbers, and e-mail addresses available in the register of members of the Company by the close of business on March 27, 2023.
2. The web address, login details will be communicated to members via email and the security codes will be communicated to members through SMS from web portal of CDC Share Registrar Services Limited (being an e- voting service provider).
3. Identity of the Members intending to cast vote through e-Voting shall be authenticated through electronic signature or authentication for login.
4. Members shall cast their vote online at any time from March 31, 2023, 09:00 a.m. and shall close on April 02, 2023 till 5:00 p.m.
5. Once the vote on a resolution is cast by a Member, he/she shall not be allowed to change it subsequently. Procedure for Voting Through Postal Ballot:

1. The members shall ensure that duly filled and signed ballot paper along with copy of Computerized National Identity Card (CNIC) should reach the Chairman of the meeting through post on the Company's registered address, or email at [e-mail] one day before the EOGM on April 02, 2023, during working hours. The signature on the ballot paper shall match with the signature on CNIC.
2. In accordance with the Regulation 11 of the Regulations, the Board of the Company has appointed M/s. Crowe Hussain Chaudhury & Co. Chartered Accountants, (a QCR rated audit firm) to act as the Scrutinizer of the Company for the special business to be transacted in the meeting and to undertake other responsibilities as defined in Regulation 11A of the Regulations.
