On November 22, 2022, Brixton Metals Corporation closed the transaction. The company issued 81,298,947 common shares at an issue price of CAD 0.18 per share for gross proceeds of CAD 14,633,810.46. The transaction included participation from two placees with an aggregate insider involvement of one placee for 5,555,556 shares pursuant to Regulation D. TSX Venture Exchange has accepted for filing documentation with respect to the non-brokered private placement.

BHP Investments Canada Inc invested CAD 13,633,810.38 through issuance of 75,743,391 common shares to own 19.9% stake.
