Beijing Shouqi (Group) Co., Ltd. announced a private placement of 131,578,947 common shares at CNY 3.80 per share for gross proceeds of CNY 500,000,000 on June 30, 2014. The transaction will involve participation from all the existing shareholders of the company, who will invest in the ratio of their respective shareholdings in the company. Existing investor, BTG Hotels (Group) Co., Ltd. will invest for 24,050,000 shares in the company and Beijing Capital Tourism Group Co., Ltd. will also invest in the transaction. BTG Hotels (Group) Co., Ltd. will increase its holding from 18.2772% to 18.2775% in the company through this transaction. On the same date, the transaction was approved at the 17th session of the 5th directorate meeting of BTG Hotels (Group) Co., Ltd.
On July 22, 2014, the transaction was approved at the 1st special shareholders meeting of 2014 of BTG Hotels (Group) Co., Ltd.
The transaction became effective as of January 22, 2015.
BTG Hotels (Group) Co., Ltd. is a China-based company mainly engaged in the operation and management of hotels. The Company mainly operates through two business segments: the Hotel Businesses segment and the Scenic Businesses segment. The hotel operation businesses mainly include the operation of hotels and the leasing of hotel properties. The hotel management businesses mainly include the brand franchise and other franchise businesses. The Company mainly operates brands of Home Inn, Motel, Fairyland, among others.
