INTEREST IN RED RIVER VALLEY EGG FARMLLC

Cal-Maine Foods, Inc.(NASDAQ: CALM) todayannounced that the

Company has reached a definitive agreement to purchase theremaining 50 percent membership interest

in RedRiver ValleyEgg Farm,LLC fromRose Acre Farms, Inc.The entitywill becomea whollyowned

subsidiaryoftheCompany.Thepurchasepriceis$48.5millionforthebalanceofthejointventure's

membershipinterests.RedRiverValleyEggFarm,LLCownsandoperatesaspecialtyshellegg

production complex with approximately 1.7 million laying hens, pullet capacity, feed mill, processing plant,

related offices andoutbuildings and relatedequipment located onapproximately 400 acres nearBogata,

Texas.TheCompanyexpectstoclosethetransactionbytheendofthemonth,subjecttocustomary

closing conditions.
