On March 29, 2024, Cascades Inc announced that it has received 5 shareholder proposals from Shareholders' Education and Defense Movement in which 2 proposals (1) It is proposed that the annual meetings of the corporation be held in person, with virtual meetings being complementary and not replacing in-person meetings, (2) It is proposed that the company adopts an annual advisory voting policy with regard to its objectives and its action plan regarding environmental and climate matters will be presented at the 2024 Annual And Special Meeting of Shareholders to be held on May 9, 2024 and the board urged shareholders to vote against the 2 proposals. The Company stated that following discussions with Shareholders' Education and Defense Movement, it has agreed to withdraw 3 of its proposals and not to be voted on at the Meeting: (1) It is proposed that the Board of Directors consider the advisability of introducing a new direction with respect to incentive compensation with the objective of tying a portion of all employee compensation to the performance of the organization in light of its main ESG goals, (2) It is proposed that the languages in which the executive officers are fluent be disclosed in the management proxy circular, (3) It is proposed that the board of directors inform shareholders and all stakeholders of the actions it has taken in order to increase the level of satisfaction with its remuneration policy.
