Casino, Guichard-Perrachon Société Anonyme (ENXTPA:CO) signed a letter of intent to acquire remaining 50% stake in Monoprix SA from Societe Anonyme des Galeries Lafayette for €1.2 billion on June 28, 2012. Monoprix SA reported annual revenue of €4.1 billion and EBITDA of approximately €360 million for the year 2011. Jean-Charles Naouri, Chairman and Chief Executive Officer of Casino, will be appointed as a board member of Monoprix. Philippe Houzé will remain Chairman and Chief Executive Officer of Monoprix. After the signing of a definitive settlement agreement, a Chairman and Chief Executive Officer for Monoprix proposed by Casino will be appointed. Casino and GroupeGaleries Lafayette will, upon completion of the sale of shares, abandon the pending legal proceedings. The deal is subject to approval from French competition authority. Casino, Guichard-Perrachon Société Anonyme and Societe Anonyme des Galeries Lafayette aim to reach a settlement agreement with respect to the sale of GroupeGaleries Lafayette's interest by October 30, 2013.

As of July 26, 2012, Casino, Guichard-Perrachon Société Anonyme (ENXTPA:CO) signed a transaction agreement to acquire additional 50% stake in Monoprix SA from Societe Anonyme des Galeries Lafayette.

As of March 14, 2013, the transaction is under review of the French Competition Authority as it threatens competition. The in-depth review will take 65 days and could be extended. The authorization of the competition authority forecasts the sale of 58 stores of the entire Casino network in France, for a total surface of sale of approximately 21,000 metre square. As of April 5, 2013, Casino exercised its right to have a subsidiary of Crédit Agricole temporarily hold the 50% stake in Monoprix, previously owned by Galeries Lafayette. The deal was approved by the French Competition Authority on July 10, 2013.
