SPECIAL DIVIDEND

AND

CLOSURE OF REGISTER OF MEMBERS

Reference is made to the announcement of China Pioneer Pharma Holdings Limited (the "Company") dated 15 January 2020 in relation to the notice of meeting of the board (the "Board") of directors (the "Directors") of the Company and the proposed declaration of a special dividend.

SPECIAL DIVIDEND

The Board is pleased to announce that, at the meeting of the Board held on the date of this announcement, having considered the business, financial and cash flow position of the Company, it has resolved to declare a special dividend of HK$0.096 per ordinary share of the Company (the "Special Dividend"), amounting to HK$120,976,032 in total as of the date of this announcement, to be paid to the shareholders of the Company whose names appear on the Company's register of members at the close of business on 17 February 2020. It is expected that the Special Dividend will be distributed in cash on 31 March 2020.

CLOSURE OF REGISTER OF MEMBERS

For the purpose of determining the entitlement of the Special Dividend, the register of members of the Company will be closed on 17 February 2020. In order to be qualified for the Special Dividend, all share transfer documents accompanied by the relevant share certificates must be lodged with the Company's branch share registrar in Hong Kong, Computershare Hong Kong Investor Services Limited, at Shops 1712-1716, 17th Floor, Hopewell Centre, 183 Queen's Road East, Wanchai, Hong Kong for registration no later than 4:30 p.m. on 14 February 2020.
