HALIFAX, NS, June 29, 2020 /CNW/ - Chorus Aviation Inc. ('Chorus') (TSX: CHR) announced today that all of the nominees listed in Chorus' management proxy circular dated May 14, 2020 were elected as directors of Chorus at its annual and special meeting of shareholders held in a virtual format only on June 29, 2020 (the 'Meeting').

Each of the directors was elected by a majority of the votes cast by shareholders present online or represented by proxy at the meeting. Detailed results of the vote are set out below.

Immediately following the Meeting, Richard Falconer was appointed Chairman of the Board. Richard McCoy stepped down as Chairman of the Board and will remain a director of Chorus to serve until the next annual meeting of shareholders. Mr. McCoy will not seek re-election at next year's meeting.

Chorus takes this opportunity to thank Mr. McCoy for his 12 years of dedicated service as Chairman of the Board. "Mr. McCoy's advice and guidance proved invaluable during a period of significant change in our industry and diversification in Chorus' business. As noted in the Management Proxy Circular, Michael Rousseau chose not to stand for re-election this year. "We thank Mr. Rousseau for his contribution to the Board over the last year and a half. His dedication and support will be missed," said Mr. Randell.

Chorus is pleased to welcome Amos Kazzaz to its Board of Directors. He will replace Michael Rousseau. Mr. Kazzaz is currently the Senior Vice President, Finance at Air Canada, responsible for strategic procurement, strategic initiatives, fleet, corporate real estate, financial planning and analysis, cost reduction initiatives and financial support for all Air Canada branches. Prior to joining Air Canada in 2010, Mr. Kazzaz held extensive senior executive roles within the airline and transportation sector. He had a 24-year career at United Airlines, where he had held a number of executive positions.

At the Meeting, shareholders reappointed PricewaterhouseCoopers LLP as Chorus' auditors and approved an advisory resolution on Chorus' approach to executive compensation. Shareholders also ratified Chorus' shareholder rights plan set forth in the shareholder rights plan agreement between Chorus and AST Trust Company (Canada) dated as of April 27, 2020 (a copy of which is available on SEDAR at www.sedar.com) and approved amendments to Chorus' restated articles of incorporation to create preferred shares.

Final voting results on all matters voted on at the Meeting will be filed on SEDAR at www.sedar.com.
