A Cielo S.A. ("Companhia") (B3: CIEL3 / OTC: CIOXY) informa que tomou conhecimento da alienação a um terceiro da participação da Integrum Holdings L.P. ("Integrum") na Merchant E-Solutions Inc. ("MerchantE"). A Companhia foi informada que os termos de tal transação não gerarão para a Cielo o direito de receber valores a título da parcela variável (earn-out) que havia sido pactuada no âmbito da alienação da MerchantE à Integrum, objeto dos fatos relevantes divulgados em 18 de fevereiro e 8 de abril de 2022.
Diante disso, a Companhia descontinuará o reconhecimento do montante de US$ 25 milhões que havia registrado em suas demonstrações contábeis referente à possibilidade de recebimento de tal parcela variável (earn-out). Não há efeitos em relação à parcela fixa (up-front).

CIELO S.A. ("Company") (B3: CIEL3 / OTC: CIOXY), informs that it became aware of the sale to a third party of the stake held by Integrum Holdings L.P ("Integrum") in Merchant E-Solutions Inc. ("MerchantE"). The Company was informed that the terms of the transaction won't generate to Cielo the right to receive any amount as part of the earn-out agreed within the scope of the sale of MerchantE to Integrum, object of the material facts disclosed in February 18th, 2022 and April 8th, 2022.
Considering the fact, the Company will discontinue the recognition of the US$ 25 million that it had registered in its financial statements referring to the possibility of receiving this earn-out. There are no effects regarding the up-front amount received by the Company.
