11.B, company registration nr.: 01 10 045857, hereinafter referred as Company) herby informs Esteemed Investors that decided to increase the share capital of its subsidiary CIG Pannónia Első Magyar Általános Biztosító Zrt. (EMABIT) by HUF 15,000,000. As a result of the capital increase, the new share capital of EMABIT is HUF 1,090,000,000, ie HUF one billion to ninety million. The share capital will be increased by the private placement of 15 (fifteen) new dematerialized registered ordinary shares with a nominal value of HUF 1,000,000 (one million) and an issue value of HUF 100,000,000 (hundred million) by paying a cash contribution. The shares represent the same rights as the shares previously issued. The entire share capital increase will be carried out by CIG Pannónia Life Insurance Plc., as the sole owner of EMABIT. All shares will be taken over by the Company.

Simultaneously with the share capital increase, the Company places the difference between the issue and the nominal value of the shares, i.e HUF1,485,,000,000, (one billion four hundred and eighty-five million) in the capital reserve of EMABIT.

The Company informs the Esteemed Shareholders that the capital increase and the creation of the capital reserve are in line with the Company's new strategic vision to finance the operations of individual businesses in the growth phase line and to maintain the required, expected and safe solvency capital compliance. The Company's direct intention and an important element of its new strategy is to operate EMABIT's business with the need and specific elements of growth, by strengthening sales and internal lines of defence and capital position.
