Effective February 1, 2024, Doug Wiest resigned as a director of Cincinnati Bell Inc. (the ?Company?). By written action executed on February 16, 2024, the sole shareholder of the Company elected Mikhail Dyadyuk as a director of the Company, effective retroactively to February 12, 2024, to fill the vacancy created by the resignation of Mr. Wiest. Mr. Dyadyuk was elected in accordance with the terms of the limited liability agreement of Red Fiber Holdings LLC (?Red Fiber Holdings?), of which the Company is an indirect wholly-owned subsidiary.

The Red Fiber Holdings limited liability company agreement gives certain investors in Red Fiber Holdings the right to designate managers of Red Fiber Holdings, who also are elected as directors of the Company. Mr. Dyadyuk is not expected to be named to any committees of the Board of Directors of the Company.
