En virtud de lo previsto en el artículo 17 del Reglamento (UE) nº 596/2014 sobre abuso de mercado y en el artículo 228 del texto refundido de la Ley del Mercado de Valores, aprobado por el Real Decreto Legislativo 4/2015, de 23 de octubre, y disposiciones concordantes, así como en la Circular 3/2020 del segmento de negociación BME Growth de BME MTF Equity, ponemos en su conocimiento la siguiente información relativa a CLERHP Estructuras, S.A.:

CLERHP desarrollará el proyecto de promoción inmobiliaria

Larimar City & Resort en República Dominicana y alcanza acuerdo

con EV Hotel para construir un hotel en él

CLERHP desarrollará el proyecto Larimar City & Resort, situado en el área de Punta Cana, en República Dominicana. El proyecto consiste en el desarrollo de un resort para la construcción de 2,7 millones de metros cuadrados de edificaciones residenciales y hoteleras, e incluye diversas infraestructuras de ocio como un malecón con restaurantes y otro tipo de comercios rodeado de grandes piscinas y atracciones de agua, centro comercial, amplias zonas verdes, clubes deportivos, sanidad y educación. Aunque CLERHP ya tiene el control total del proyecto (mediante la tenencia del 100% como titular del terreno por parte de INECAR), se mantienen abiertas negociaciones con diversos inversores que pueden variar los porcentajes finales de CLERHP (sin que en ningún caso vaya a bajar del 80%).

Dentro del grupo CLERHP, la filial INGENIERÍA Y ESTRUCTURAS DEL CARIBE - INECAR, S.R.L. será la responsable de realizar las obras de todo el complejo, que está previsto que duren 11 años. CLERHP Estructuras, S.A. hará las funciones de Project Management incluyendo las tareas de diseño y arquitectura. Una estimación de la compañía es que el nuevo proyecto aporte al negocio orgánico de CLERHP una cartera potencial de trabajo de 175 millones de euros en el área de estructuras, con un inicio de obras en la segunda mitad de 2023, y otros 100 millones de euros por las actividades de Project Management, a iniciar en la primera mitad de 2023.

Para la parte hotelera, CLERHP ha firmado una Carta de Intenciones con el grupo estadounidense basado en Atlanta, EV HOTEL (www.evaihotels.com) para llevar a cabo conjuntamente la construcción de uno de los hoteles del complejo, que contará con 400 habitaciones. En virtud de tal acuerdo, CLERHP aportará el suelo necesario para el hotel (30.000 m2) y EV Hotel pagará los costes de construcción. Las obras serán realizadas por CLERHP a través de INECAR. Actualmente se está definiendo el diseño del hotel para conocer con exactitud los costes de construcción que se podrían alcanzar, estimado a

fecha en torno a 30 millones de Euros. Una vez definidos todos los costes se definirá la participación de cada compañía en el hotel resultante.

En los próximos días, la compañía ampliará información sobre el nuevo proyecto y su impacto a largo plazo.

CLERHP will develop the Larimar City & Resort real estate

development project in the Dominican Republic and reaches an

agreement with EV Hotel to build a hotel in it

CLERHP will develop the Larimar City & Resort project, located in the Punta Cana area of the Dominican Republic. The project consists of the development of a resort for the construction of 2.7 million square meters of residential and hotel buildings, and includes various leisure infrastructures such as a boardwalk with restaurants and other types of shops surrounded by large swimming pools and water attractions, shopping center, large green areas, sports clubs, health and education. Although CLERHP already has full control of the project (through the holding of 100% as the owner of the land by INECAR), negotiations are open with investors that may vary the final percentages of CLERHP (without in any case going to fall below 80%).

Within the CLERHP group, the subsidiary INGENIERÍA Y ESTRUCTURAS DEL CARIBE - INECAR, S.R.L. will be responsible for carrying out the works of the entire complex, which is expected to last 11 years. CLERHP Estructuras, S.A. will perform the functions of Project Management including design and architecture tasks. An estimate of the company is that the new project will contribute to clerhp's organic business a potential portfolio of work of 175 million euros in the area of structures, with a start of works in the second half of 2023, and another 100 million euros for Project Management activities, to start in the first half of 2023.

For the hotel part, CLERHP has signed a Letter of Intent with the American group based in Atlanta, EV HOTEL (www.evaihotels.com) to jointly carry out the construction of one of the hotels of the complex, which will have 400 rooms. Under this agreement, CLERHP will provide the necessary land for the hotel (30,000 m2) and EV Hotel will pay the construction costs. The works will be carried out by CLERHP through INECAR. The design of the hotel is currently being defined to know exactly the construction costs that could be achieved, estimated to date at around 30 million Euros. Once all the costs have been defined, the participation of each company in the resulting hotel will be defined.

In the coming days, the company will expand information about the new project and its long-term impact.
