RESIGNATION OF TWO DIRECTORS ***

Reggiolo, 28 March 2024 - Comer Industries SpA (" Company " or " Comer Industries ") - company listed on the Euronext Milan segment of the Italian Stock Exchange and head of a world- leading group in the design and production of advanced engineering systems and mechatronics solutions for power transmission - announces that on March 27, 2024 the two non-independent directors, nor parties to any endonboard committee of the Company, Joseph P. Huffsmith and Lee M. Gardner, resigned from their positions as directors of the Company with effect immediate.

According to what is indicated in the resignation letters sent to the Company, in consideration of the investment made by One Equity Partners (" OEP ") in CBM SpA, a company specialized in the production of attachment systems for tractors, OEP has in fact deemed it appropriate that Joseph P. Huffsmith and Lee M. Gardner, as its representatives, resigned from the Company's Board of Directors.

In this regard, the Company recalls that the Shareholders' Meeting called for 23 April 2024 is also called to resolve on the appointment of the new Board of Directors.

To the best of the Company's knowledge and based on available information, Joseph P. Huffsmith and Lee M. Gardner do not hold equity interests in the Company as of today.

Furthermore, they are not entitled to compensation or other benefits resulting from the termination of their office.

The Company thanks Joseph P. Huffsmith and Lee M. Gardner for their commitment and contribution as members of the Board of Directors of Comer Industries.
