Cuentas Inc. entered into a Membership Interest Purchase Agreement to acquire 6% minority stake in 4280 Lakewood Road Manager, LLC from Core Development Holdings Corporation for $0.43 million.

Cuentas Inc. entered into letter on intent to acquire 6% minority stake in 4280 Lakewood Road Manager, LLC from Core Development Holdings Corporation for $0.43 million on December 30, 2022. Cuentas Inc. entered into a Membership Interest Purchase Agreement to acquire 6% minority stake in 4280 Lakewood Road Manager, LLC from Core Development Holdings Corporation on February 2, 2023. Cuentas acquired 6% interest in 4280 Lakewood Road Manager, LLC in exchange for 295,282 shares of Common Stock, representing approximately 19.99% of the then outstanding shares of Common Stock.

The closing (the "Closing") shall be February 3, 2023.
