(Disclosure Update) Notice Regarding Establishment of Joint Venture Company to Manufacture

and Sell Acetylene Black and Investment in Construction of Production Plant

Denka Company Limited (headquartered in Chuo-ku, Tokyo; president: Toshio Imai; hereinafter "Denka") announces

that it has decided to establish a joint venture company and to invest in the construction of a production plant, subject to

decision making by the governing body of SCG Chemicals Public Company Limited (headquarters: Bangkok, Thailand;

president: Tanawong Areeratchakul; hereinafter, "SCGC"), a wholly owned subsidiary of The Siam Cement Public Company Limited, listed company in Thailand, the joint venture partner, as announced on October 10, 2023 in the "Notice Regarding Establishment of Joint Venture Company to Manufacture and Sell Acetylene Black and Investment in Construction of Production Plant."

Denka is pleased to announce that this matter was resolved at the SCGC's Board of Directors meeting.
