DILIGENT CONFIRMS THE MERGER CONSIDERATION CURRENCY CONVERSION RATE

Wellington, New Zealand - April 20, 2016 - Diligent Corporation (NZX: DIL) ("Diligent") confirms the merger consideration currency conversion rate from U.S. Dollars to New Zealand Dollars is 0.6942.

As previously announced, for those shareholders that have provided the necessary documentation, settlement will occur within two weeks from the close of the transaction. Link Market Services has now confirmed payment will be made on April 27, 2016.

For those shareholders that have not provided the necessary documentation, their merger consideration will be held by Link Market Services until it has been provided.
