Dis-Chem Pharmacies Limited (JSE:DCP) entered into an agreement to acquire Medicare Hospital Equipment (Pty) Ltd for ZAR 282 million on December 14, 2020. Dis-Chem Pharmacies Limited (JSE:DCP) will acquire 100% of the issued share capital and shareholder claims of Pure Pharmacy Holdings (Proprietary)Limited trading as Medicare Health. In related transactions, Dis-Chem Pharmacies Limited agreed to acquire 25% stake in Kaelo Holdings on December 21, 87.5% stake in Healthforce (Proprietary) Limited on December 18, 2020 and completed the acquisition of Fairy Tales Boutiques (Proprietary) Limited and Somerset Baby Hyper (Proprietary) Limited from Baby City on December 21, 2020. The transaction is subject to the approval of boards of Medicare Hospital Equipment (Pty) Ltd and Dis-Chem Pharmacies Limited and obtaining the required approval in terms of the Competition Act for the implementation of the Transaction either unconditionally or subject to such conditions as the parties may agree in writing. Dis-Chem has identified some individuals in the due diligence investigation as key employees of Medicare’s operations, having concluded a new written employment contract with Medicare, including restrain reasonably necessary to protect the economic interests of the Medicare and Dis-Chem. The effective date for the transaction is expected to be the first day of the calendar month succeeding the calendar month in which the last of the conditions precedent is fulfilled (or waived, as the case may be). Dis-Chem Pharmacies Limited (JSE:DCP) acquired Medicare Hospital Equipment (Pty) Ltd from existing shareholders on September 23, 2021. Dis-Chem will pay a final purchase consideration of approximately ZAR 250 million, subject to final net working capital guarantee calculations upon closure. All the conditions have been met and the transaction has received the approval from Competition Tribunal on September 20, 2021.
