RESIGNATION OF EXECUTIVE DIRECTOR AND CHIEF

EXECUTIVE OFFICER

The board of directors (the "Board") of Dongjiang Environmental Company Limited (the "Company") hereby announces that on 12 August 2020, the Company received a resignation letter from Mr. Yao Shu ("Mr. Yao") resigning as an executive director, chief executive officer and the member of strategic development committee due to his other work arrangements.

In accordance with the relevant regulations of the Company Law of the People's Republic of China and the Company's articles of association, Mr. Yao's resignation took effect from the date on which his resignation letter was delivered to the Board (i.e. 12 August 2020). Mr. Yao would not hold any positions in the Company after his resignation becoming effective. Mr. Yao's resignation will not lead to the number of members of the Board falling below the statutory minimum number, nor affect the normal operations of the Board.

Mr. Yao has confirmed that he has no disagreement with the Board and there is no matter relating to his resignation that needs to be brought to the attention of shareholders of the Company and The Stock Exchange of Hong Kong Limited.

The Board wishes to express its gratitude to Mr. Yao for his contributions to the Company during his tenure of office.

Following Mr. Yao's resignation as, amongst others, chief executive officer of the Company, the Company has appointed Mr. Tan Kan ("Mr. Tan"), the chairman and an executive director of the Company, as acting chief executive officer with effect from 14 August 2020, pending the appointment of a new chief executive officer of the Company. The biographical information of Mr. Tan is set out below:

Mr. Tan Kan (譚侃), aged 51, is a member of the Communist Party of China and holds a bachelor's degree. Since 1992, Mr. Tan has worked in the Environmental Technology Development Institute of Futian District ( 福 田 區 環 境 技 術 開 發 研 究 所 ) and Shenzhen Environmental Supervision Institute (深圳市環境監理所). Between 2002 and 2016, Mr. Tan

worked as deputy research officer of environmental evaluation management department, deputy director of dongshen water source protection office and deputy division chief of water and soil environmental management office in Shenzhen Neighborhood Committee (深圳市人居委). From November 2016 to May 2017, Mr. Tan served as the head of pollution prevention and control department of Shenzhen Water Bureau (深圳市水務局).

Mr. Tan has many years of experience in environmental management and pollution prevention. Mr. Tan was appointed as an executive director and chairman of the Company on 12 November 2018 and served as the secretary of the Communist Party of the Company. Mr. Tan holds the positions of legal representative and chairman of the board of directors in Huizhou Dongjiang Veolia Environmental Services Limited (an associated company of the Company) and chairman of the board of directors Xiantao Luyi Environmental Technology Co., Ltd. (a subsidiary of the Company).

The term of office of Mr. Tan as chairman and executive director of the Company was effective from 12 November 2018 until the expiry of the term of the sixth session of the Board and his term of office as acting chief executive officer shall be effective from 14 August 2020 until the appointment of a new chief executive officer. Mr. Tan has entered into a letter of appointment with the Company and he is entitled to remuneration in accordance with the Company's remuneration policy. The Company will disclose the remuneration of Mr. Tan in its annual reports.

As at the date of this announcement, save as 120,000 A Shares of the Company, Mr. Tan does not have any interest in the securities of the Company within the meaning of Part XV of the Securities and Futures Ordinance (Cap. 571 of the laws of Hong Kong). He has no relationship with the Company's other directors, supervisors, senior management, shareholders holding more than 5% of the Company's Shares, substantial shareholders, controlling shareholders and actual controllers, nor has he been subject to any punishment by the China Securities Regulatory Commission and other competent authorities or disciplined by any stock exchanges.

As at the date of this announcement and save as disclosed above, Mr. Tan does not hold any other positions with the Company and/or its subsidiaries and does not hold any directorship in the last three years in public companies, the securities of which are listed on any securities market in Hong Kong or overseas. He is not dishonest person subject to enforcement action. His qualifications for appointment are in compliance with the qualifications for appointment required under the Company Law of China, Rules Governing the Listing of Stocks on the Shenzhen Stock Exchange, the articles of association of the Company and other relevant laws and regulations.

Save as disclosed above, there is no other information of Mr. Tan that is required to be disclosed pursuant to Rule 13.51(2) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited, and the Company is not aware of any other matter which needs to be brought to the attention of the shareholders of the Company.
