DT&C.Co.,Ltd (KOSDAQ:A187220) announced a private placement of episode 3 bearer-owned interest-free private equity convertible bonds for gross proceeds of KRW 6,000,000,000 on September 25, 2019. The transaction will involve participation from Hana Digital Transformation Fund for KRW 3,000,000,000, a fund managed by Hana Ventures, Shinhan Investment Corp., Investment Arm for KRW 1,000,000,000, and Shinhan Capital, Investment Arm for KRW 2,000,000,000. The bonds will mature on October 1, 2022. The bonds will carry no surface interest rate and maturity interest rate of 3%. The bonds are fully convertible into 696,783 common shares for 5.98% stake in the company at KRW 8,611 per share. The conversion period will be from October 1, 2020 to September 1, 2022. The transaction is expected to close on October 1, 2019. The transaction has been approved by the board of directors of the company.

The Company is engaged in the provision of testing and certification services for information and communication devices such as personal computers, notebook computers, televisions and mobile phones, as well as medical devices and automobiles. The Company provides its products and services in domestic and international markets.
