Item 8.01 Other Events.

The management of E-Waste Corp., a Florida corporation (the "Company"), disavows the price of its publicly quoted stock on the OTC Markets under the trading symbol "EWST." Management is aware of no basis to support the Company's stock price, based upon its revenue or assets.

As reported by the Company in its filings with SEC, including its audited financial statements, the Company is a "shell company" (as such term is defined in Rule 12b-2 under the Securities Exchange Act of 1934, as amended (the "Exchange Act")). In April 2021, the Company raised $2,500,000 from several institutional investors in a private placement offering. Management disclosed that the proceeds from this private placement would be used for working capital and general corporate purposes, and to seek, investigate and, if such investigation warrants, engage in a business combination with a private entity whose business represents an opportunity for the Company's shareholders.

The Company's shares are quoted on the OTC Markets. However, there has not been, nor is there, significant trading volume in the Company's stock. Management consistently files and is current in its public filings with the Securities and Exchange Commission ("SEC") and intends to maintain its business plan as disclosed in those filings.
