Enersize Oyj would like to clarify, as there have been several questions, regarding the subscription for series 3/2023 from both shareholders and institutions. On January 27, 2023, the subscription price for the exercise of warrants of series 3/2023 was set at SEK 0.02 (corresponding to approximately EUR 0.002) per new share subscribed for through the exercise of the Warrants.

For those of you who already have Warrants (ENERS TO3) in your custody account, you can subscribe directly in your custody account or by contacting your bank / custody account and they will help.

If you do not own ENERS TO3 but want to participate, you can buy these on Nasdaq First North until February 9 in exactly the same way as you trade other securities. Some banks/custodians/institutions require you to answer questions regarding warrants in order to trade Warrants with them. Search on ENERS TO3 and you will get the trade, if not you need to do the test. This is a protection for you and is both an information and test that you quickly carry out with them. If you do not do this, you cannot, as I said, trade Warrants. But if you are unsure, you can always turn to their customer service for help.

There are a total of 354,410,778 warrants and those not exercised by February 13 will expire. This means that if you have previously or have chosen to buy, you must actively subscribe for these through your bank / custody / institution before February 13. If you want to buy more or sell some, you must do so no later than February 9 so that there is time for you or the person buying to subscribe before February 13.

Anyone who chooses to subscribe for the redemption of an ENERS TO3 will receive a new share for the current subscription price, which is set at SEK 0.02 (regardless of what the current price of the share is. Commission is not charged for TO). These ENERS TO3 will thus be converted from Warrants to full Enersize shares after they are paid and important to know is that it may take a week or so before they can be seen on your custody account.

Warrant holders with nominee-registered holdings sign up for the exercise of warrants directly with their nominee/bank. Warrant holders with directly registered holdings (securities account) sign up for the exercise of warrants via Mangold Fondkommission's website: https://emission.mangold.se/

Terms and conditions of the warrants

Conditions: one (1) Warrant entitles the holder to subscribe for one (1) new share.

Share price: SEK 0.02 (corresponding to approximately EUR 0.002) per share, no commission is charged.

Exercise period: Subscription of shares with the support of the Warrants of series 3/2023 will be from 30 January 2023 to 13 February 2023.

Last day of trading in Warrants: The last day for trading in the Warrants of series 3/2023 on Nasdaq Stockholm First North Growth Market is 9 February 2023.
