NOTICE PURSUANT TO ART. 144-OCTIES, PARAGRAPH 2 OF

CONSOB REGULATION NO. 11971 OF 14 MAY 1999 (i.e.

REGOLAMENTO EMITTENTI)

May 30, 2021. Exprivia - a company listed on the MTA market of Borsa Italiana [XPR.MI] - with reference to the art. 144-octies, paragraph 2 of Regolamento Emittenti and in relation to the appointment of the Statutory Auditors of Exprivia S.p.A. for financial years 2021 - 2023, scheduled on the agenda of the Ordinary Shareholders' Meeting called on the 23rdJune 2021 on first call and, if necessary, on the 24thJune 2021 on second call, announces that no minority list has been filed for the appointment of the Statutory Auditors at the expiry of the deadline for filing the lists, i.e. May 29, 2021.

In accordance with art. 144-sexies, paragraph 5 of Regolamento Emittenti and with art. 23 of the Company's Statuto, Exprivia informs that the minority lists for the appointment of Statutory Auditors may be filed no later than the 1stJune 2021 at the registered office of Exprivia S.p.A., or via certified electronic mail to the address [e-mail], by shareholders who own, either alone or together with other shareholders, at least 1.25% of the Share Capital.
