CREDITORS' VOLUNTARY WINDING-UP OF A WHOLLY-OWNED SUBSIDIARY

The board of directors (the "Board") of Ezion Holdings Limited ("Company" and together with its subsidiaries, the "Group") wishes to announce that Teras Conquest 9 Pte Ltd ("TC9PL"), the Company's wholly-owned subsidiary incorporated in Singapore, has been placed under creditors' voluntary winding-up with effect from 10 February 2022 pursuant to a resolution passed at the extraordinary general meeting of TC9PL held on 10 February 2022.

Messrs. Oon Su Sun and Lin Yueh Hung, both care of RSM Corporate Advisory Pte Ltd have been appointed to act as the joint and several liquidators for the purpose of winding-up of the affairs of TC9PL.

The creditors' voluntary winding-up of TC9PL is not expected to have any material impact on the net tangible assets or earnings per share of the Group for the financial year ending 31 December 2021.

None of the Directors and to the best knowledge of the Directors, and none of the controlling shareholders of the Company or their respective associates, has any interest, direct or indirect (other than through their respective shareholdings in the Company, if any), in the above transaction.

Although the Company's shares are currently under suspension, shareholders, securityholders and investors are advised to read this announcement and any past and future announcements by the Company carefully when dealing with the shares and securities of the Company.
