FATO RELEVANTE

FERTILIZANTES HERINGER S.A. ("Companhia" ou "Heringer") vem, nos termos do artigo 157, §4º, da Lei nº 6.404, de 15 de dezembro de 1976, conforme alterada

("Lei das S.A."), e da Instrução da CVM nº 358, de 3 de janeiro de 2002, conforme alterada, em continuidade aos fatos relevantes divulgados nos dias 4 de fevereiro de 2019 e 6 de fevereiro de 2019, respectivamente, informar aos seus acionistas e ao público em geral que:

A Companhia realizou, no dia 20 de fevereiro de 2019, Assembleia Geral Extraordinária na qual os acionistas ratificaram a decisão de ajuizar Pedido de Recuperação Judicial, nos termos do art. 51 e seguintes da Lei n° 11.101/05, perante a Comarca de Paulínia, Estado de São Paulo ("Pedido de Recuperação Judicial").

Sendo assim, os acionistas da Companhia, expressa e formalmente, ratificaram a decisão que havia sido tomada pelo Conselho de Administração da Companhia, em caráter de urgência, com base no artigo 122, parágrafo único, da Lei das S.A., relativa ao Pedido de Recuperação Judicial.

Todos os documentos exigidos pela Lei das S.A. e pelas normas da CVM aplicáveis, relacionados à matéria objeto deste Fato Relevante, encontram-se à disposição dos acionistas da Companhia em sua sede social e em seu website(www.heringer.com.br/ri). Cópia desse material também está disponível no Sistema Empresas.NET da CVM (www.cvm.gov.br), além do website da B3 (www.b3.com.br).

A Companhia manterá os seus acionistas e o mercado informados sobre o desenvolvimento do processo de Recuperação Judicial, na forma e nos prazosestabelecidos pela legislação aplicável. MATERIAL FACT

FERTILIZANTES HERINGER S.A. (the "Company" or "Heringer"), in compliance with the terms of article 157, paragraph 4, of Law No. 6,404, of December 15, 1976, as amended (the "Brazilian Corporations Law"), and CVM Instruction No. 358, of January 3, 2002, as amended, in addition to the Material Facts disclosed by the Company on February 4, 2019 and on February 6, 2019, respectively, hereby inform its shareholders and the general public that:

On February 20, 2019, the Company held an Extraordinary Shareholders' Meeting by means of which the Company's shareholders ratified the decision of filing the Judicial Recovery of the

Company before the Court of Paulínia, State of São Paulo, pursuant to article 51 at seq. of Law 11,101, of February 9, 2005 ("Request for Judicial Reorganization").

Therefore, the Company's shareholders expressly ratified the deliberation that has been approved by the Board of Officers of the Company pursuant to the Request for Judicial Reorganization, as a matter of urgency, under the terms of article 122, sole paragraph, of the Brazilian Corporations Law.

The Company points out that all the documents required by the Brazilian Corporations Law and the applicable CVM rules related to the subject matter of this Material Fact, are available to the Company's shareholders at its headquarters and on its website(www.heringer.com.br/ri). Copies of such material are also available at CVM's Empresas.NET System(www.cvm.gov.br), as well as on B3's website (www.b3.com.br).

The Company will keep its shareholders and the market informed on the progress of the matters presented in this Material Fact, and will, in due course and in accordance with currentlaws and regulations, disclose further information regarding the Judicial Recovery.
