AND ANNOUNCES THE LAUNCH OF THE MANDATORY

TAKEOVER BID (OPA)

Following what already disclosed to the market on 21 September, Fine Foods & Pharmaceuticals N.T.M. S.p.A. ("Fine Foods") informs it has acquired a controlling stake in Euro Cosmetic S.p.A. ("Euro Cosmetic"), having today acquired about 72.9% of its share capital.

Fine Foods has acquired (i) from MD 1,845,069 shares representing about 38.7% of Euro Cosmetic's

representing about 11,815,550.

Euro Cosmetic shares are listed on AIM Italia, organised and managed by Borsa Italiana S.p.A.

As a result, as already disclosed to the market, the conditions voluntarily referred to in Article 6 of Euro Cosmetic's Articles of Association have been met, which is Fine Foods' obligation to launch a takeover bid for the remaining 1,286,800 Euro Cosmetic shares.

Today, Fine Foods, as a bidder, will publish the announcement under article 102, paragraph 1 of the Consolidated Law on Finance (TUF) and article 37 of the Issuers' Regulations, in which it announces the promotion of the Mandatory Takeover Bid under articles 102 and 106 paragraph 1 of the Consolidated Law on Finance (TUF).

Under the law, Fine Foods will submit the related bid document to Consob.
