First Bankers Trustshares, Inc. (OTCPK:FBTT) announced the spin-off of First Bankers Trust Services Inc (FBTS) on June 5, 2019. As a result of distribution, each First Bankers Trustshares, Inc. stockholder will receive one share of FBTS common stock for every share of First Bankers Trustshares, Inc.. held. Following the distribution, FBTS will operate as an independent company and First Bankers Trustshares, Inc. will not own any shares of FBTS. FBTS will be rebranded to TI-Trust, Inc. to better reflect the core services of their business. The record date for spin off is set as June 17, 2019. The planned distribution date is July 1, 2019.
First Bankers Trustshares, Inc. (OTCPK:FBTT) completed the spin-off of First Bankers Trust Services Inc (FBTS) on July 1, 2019. FBTS is now rebranded as TI-Trust, Inc. The distribution of 3.09 million shares of TI-Trust, Inc. was completed. TI-Trust will continue to provide employee benefit, personal trust, and farm services. The distribution will have no impact on the operations of First Bankers Trust Company, N.A., which is a national bank and wholly-owned subsidiary of First Bankers Trustshares, Inc., or TI-Trust, Inc.
First Bankers Trustshares, Inc. is the holding company for First Bankers Trust Company, N. A. (the Bank). The primary business of the Bank is that of a community-oriented financial institution offering a variety of financial services. It attracts deposits from the general public and uses such deposits, together with borrowings and other funds, to originate one-to-four family residential mortgage loans, consumer loans, small business loans and agricultural loans in its primary market area. It also invests in investment securities consisting of United States government or agency obligations, mortgage-backed securities, financial institution certificates of deposit, and other liquid assets. Its portfolio segments include commercial operating, commercial real estate, agricultural operating, agricultural real estate, construction, and land development. It offers consumer and other loans, including motor vehicle, home improvement, home equity, signature loans and small personal credit lines.
