Indicative Announcement on Changes in Equity of the Shareholder Holding More Than 5% or above of the Company's Shares

The Board of Directors and all directors of the Company warrant that there are no false representations, misleading statements or material omissions in this announcement, and that they will be jointly and severally liable for the truthfulness, accuracy and completeness of the contents herein contained.

Important Notice:

• From September 3 to November 11, 2021, Dajia Life Insurance Co., Ltd, the information disclosure obligor, reduced its shares of the Company in aggregate of 5%; the percentage of shares of the Company it held was reduced to 15.43% after the changes in equity.
• The aforesaid changes in equity constitute reduction of shareholding, and do not involve a tender offer or change in corporate control.

On November 12, 2021, Gemdale Corporation ("Gemdale Corporation" or the "Company") received the Notice of Change in Equity of Gemdale Corporation and the Simplified Report on the Change in Equity of Gemdale Corporation from Dajia Life Insurance Co., Ltd. ("Dajia Life Insurance" or the "Information Disclosure Obligor"), a shareholder of the Company.

As of September 2, 2021, Dajia Life Insurance held 922,338,925 ordinary shares of the Company, representing 20.43% of the total share capital of the Company.

From September 3 to September 14, 2021, Dajia Life Insurance reduced its shareholding in the Company by 45,049,216 shares in aggregate through call auction, representing 0.99% of the total share capital of the Company. Through block trading, Dajia Life Insurance reduced its shareholding in the Company by 60,540,000 shares, representing 1.34% of the total share capital of the Company. For aforesaid details, please see the Indicative Announcement on the Reduction of Shareholding of More Than 1% by the Shareholder Holding 5% or above of the Company's Shares (Announcement No.: 2021-053) disclosed by the Company on September 16, 2021.

From September 16 to September 30, 2021, Dajia Life Insurance transferred 10,528,600 shares through call auction, representing 0.23% of the total share capital of the Company. In October 2021, Dajia Life Insurance transferred 9,607,840 shares through call auction, representing 0.21% of the total share capital of the Company. In November 2021, Dajia Life Insurance transferred 9,700,000 shares through call auction, representing 0.21% of the total share capital of the Company. Through block trading, Dajia Life Insurance transferred 90,303,544 shares, representing 2.00% of the total share capital of the Company. Since the disclosure of the indicative announcement on September 16, Dajia Life Insurance reduced its shareholding in the Company by 120,139,984 shares in aggregate, representing 2.66% of the total share capital of the Company. Upon aggregating the previous changes in equity, Dajia Life Insurance has reduced its shareholding in the Company by 225,729,200 in aggregate since September 3, representing 5.00% of the total share capital of the Company.
