ThreePro Group Inc. (TSE:2375) agreed to acquire OAS Corporation from NEC Platforms, Ltd., Tadashi Unno, Fujio Higashi, OAS Employee Shareholding Association and others for ¥790 million on September 29, 2017. On the same day parties signed the agreement. Under the terms of transaction, ThreePro Group Inc. will acquire 0.22 million shares for ¥790 million and will acquire 22.7% from NEC Platforms, Ltd., 15.5% stake from Tadashi Unno, 11.6% from Fujio Higashi and 23.8% from seven individuals and 26.5% from OAS Employee Shareholding Association. Upon completion, OAS Corporation will become a wholly owned subsidiary of ThreePro Group Inc. The transaction has been resolved by the Board of ThreePro Group Inc. The contract signing may take place from September 29, 2017 to mid-October 2017. The transaction is expected to be completed by October 31, 2017.
