Goodbye Kansas Group AB (publ) (“Goodbye Kansas Group” or “Company”) has held an extraordinary general meeting (“EGM”) on December 17, 2021. Due to the ongoing pandemic the EGM was carried out through mandatory postal pre-voting. The counting of the postal voting has now been completed and all decisions were made in accordance with the proposals presented in the notice of the EGM.

Decisions regarding transactions with closely-related parties
The EGM resolved to approve the following transactions between the Company and closely-related parties:

  1. Goodbye Kansas Group and Chairman of the Board Per-Anders Wärn entered into a loan agreement on October 14, 2021, whereby Per-Anders Wärn provides 6 040 833 SEK to the Company and renegotiates terms for prior loans from June 22, 2021, including interest, with a value of 3 959 167 SEK and thereby originate a new loan with a total value of 10 000 000 SEK. The new loan expires on December 31, 2023 and carries an annual interest rate of 10 percent and an administrative fee of 3 percent.
  2. Goodbye Kansas Group and Jonas Levin, brother to the Company’s CEO Peter Levin, entered into a loan agreement on October 14, 2021, whereby Jonas Levin will provide a loan of 5 000 000 SEK to the Company. The loan expires on December 31 2022 and carries an annual interest rate of 10% and an administrative fee of 3 percent.
