Greenyard proposes changes to its Board of Directors

Sint-Katelijne-Waver, Belgium, 16 August 2022

Greenyard will publish its convening notice, for the Annual General Shareholders' Meeting of 16 September 2022, tomorrow. Based on the advice of its Nomination & Remuneration Committee, the Board of Directors proposes to renew the mandate of its Chairman Mr Koen Hoffman1 as independent director, and to appoint Mr Gert Bervoets2 as new independent director. He will succeed Ms Hilde Laga, who voluntarily resigns from her current role as independent director to pursue new professional opportunities.

Furthermore, current director Alychlo NV, the independent investment company of Mr Marc Coucke, will be represented within the Board by Ms Els Degroote following the Annual Meeting.

A balanced composition in diversity requirements

Providing the Annual Meeting approves the (re)appointments; as of 16 September 2022, the Greenyard Board of Directors will consist of nine members, of whom four are independent directors. The Board will continue to comply with the specific gender diversity requirements as stated in article 7:86 of the Belgian Companies and Associations Code. Moreover, the proposed changes will continue to contribute to a diversified, balanced composition of industry and topical business leaders within Greenyard's Board of Directors; meeting the diversity requirements based on professional experience, knowledge, and expertise.

More about the new members

Mr Bervoets is CEO of H.Essers since 2013. After graduating with a master's degree in commercial engineering, he worked as Group Product Manager at Nestlé for eight years and then made the move to H.Essers as General Manager Warehousing. H.Essers is a Belgian logistics organisation, providing integrated solutions for sustainable transport and logistics across Europe, and acting as a long-term supply chain partner for clients in various industries.

Ms Degroote, with a master in commercial engineering and with MBAs in Financial Management and High Potential Banking & Insurance from the Vlerick Business School, started her career at KBC Securities, where she became Head of Corporate Finance in 2012. Between 2016 and March 2022 she was M&A Partner in Strategy & Transactions and Brussels Regional Managing Partner at EY. Recently she was appointed Investment Manager at Alychlo NV.
